- What’s the difference between directors and officers?
- Board of Directors provide governance and oversight. They elect and oversee the officers.
- Officers handle day-to-day operations and administration.
- Being an officer does not make someone a board member.
- Who’s really in charge?
Ace Makerspace is a Member-Run nonprofit. Full Voting Members of Ace Monster Toys formally govern the organization by electing the board and voting on major decisions.

- Members choose the directors (governance layer)
- Directors choose the officers (management layer)
- How can the bylaws be changed?
- “By approval of the members” or
- “by approval of the board of directors unless the bylaw amendment would materially and adversely affect the rights of members”
- What happens if there is no president? If the position of president is vacant, then the Chair shall act as CEO.
